Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the website located at https://koderhive.com (the “Site”) and any services, products, or deliverables provided by KoderHive (“KoderHive,” “we,” “us,” or “our”). By accessing the Site, contacting us, or engaging our services, you (“you,” “client,” or “user”) agree to be bound by these Terms.
If you do not agree with any part of these Terms, please do not use our Site or services.
Services Overview
KODERHIVE provides a variety of digital services, including but not limited to:
- Website development and design
- Mobile application development
- Digital marketing and SEO services
- E-commerce solutions
- Maintenance and support services
The scope of each project will be outlined in a specific contract, proposal, or Statement of Work (SOW) agreed upon by both parties.
1. Definitions
- "Services" refers to the design, development, and related deliverables described in a proposal, quote, or written agreement between you and us, including UI/UX design, mobile app development, MVP development, web development, and AI-powered product work.
- “Deliverables” means any design files, source code, documentation, prototypes, or other materials created and delivered to you as part of the Services.
- “Project” means a written proposal, statement of work, or agreement that defines the scope, timeline, and fees for a specific engagement.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract to use our Services. By engaging us, you represent that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.
3. Services and Scope of Work
The specific scope, deliverables, timeline, and fees for each engagement will be defined in a separate Project proposal or statement of work agreed upon in writing. These Terms apply to all such engagements unless expressly overridden by a signed agreement.
Any work requested beyond the agreed scope (“change requests”) may require additional time and fees, which we will communicate to you before proceeding. Estimated timelines, including our 2–4 week MVP timeframe, are good-faith estimates and may vary based on project complexity, feedback turnaround, and third-party dependencies.
4. Client Responsibilities
To enable us to deliver the Services effectively, you agree to:
- Provide accurate, complete, and timely information, content, and materials required for the Project.
- Review deliverables and provide feedback within reasonable timeframes.
- Ensure you have the rights to any content, assets, or materials you supply to us.
- Designate a point of contact authorized to make decisions and approve work.
Delays in providing information, feedback, or approvals may affect project timelines, for which KoderHive is not responsible.
5. Fees and Payment
Fees for the Services will be set out in the applicable proposal or statement of work. Unless otherwise agreed in writing:
- Projects may require an upfront deposit before work begins.
- Payments are due according to the milestones or schedule stated in the proposal.
- All fees are exclusive of applicable taxes unless stated otherwise.
- Late or missed payments may result in suspension of work and delayed delivery.
Unless otherwise stated, all payments are non-refundable once the corresponding work has commenced.
6. Intellectual Property
Upon full and final payment for a Project, ownership of the final Deliverables created specifically for you will transfer to you, except for any third-party materials, open-source components, or pre-existing tools and frameworks, which remain subject to their respective licenses.
KoderHive retains ownership of its pre-existing intellectual property, methodologies, know-how, and reusable components. Until full payment is received, all Deliverables remain the property of KoderHive.
Unless you request otherwise in writing, you grant KoderHive the right to display completed work, screenshots, and general project outcomes in our portfolio, case studies, and marketing materials.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during an engagement, including business plans, product ideas, technical details, and proprietary materials. Confidential information will not be disclosed to third parties without prior consent, except as required by law or to trusted service providers bound by similar obligations.
8. Third-Party Services and Tools
Our Services may rely on or integrate third-party platforms, frameworks, libraries, cloud providers, and tools. We are not responsible for the availability, performance, pricing, or terms of such third-party services. Their use may be subject to separate agreements between you and the third-party provider.
9. Warranties and Disclaimers
We provide our Services with reasonable skill and care in a professional manner. However, except as expressly stated, the Site and Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Site or Services will be uninterrupted, error-free, or free of harmful components, or that any Deliverable will meet every business outcome or expectation not expressly agreed in writing.
10. Limitation of Liability
To the maximum extent permitted by law, KoderHive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Site or Services.
In no event shall our total aggregate liability arising out of or related to a Project exceed the total amount you paid to us for that specific Project.
11. Indemnification
You agree to indemnify and hold harmless KoderHive, its team members, and affiliates from any claims, damages, liabilities, costs, or expenses arising from your breach of these Terms, your misuse of the Services, or your infringement of any third-party rights, including in relation to content or materials you provide to us.
12. Termination
Either party may terminate an engagement by providing written notice as set out in the applicable proposal. Upon termination, you agree to pay for all work completed and expenses incurred up to the termination date. Sections relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Texas, unless otherwise required by applicable law.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, services, or legal requirements. The updated version will be indicated by a revised “Last updated” date and will take effect once posted on this page. Your continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
